Protecting Your Business - Managing Key Personnel

Wednesday 23 January 2008, Stanley House, Mellor, Lancashire

"...he had been a director for 10 years but set up in competition across the road taking our database of clients with him..."

"...despite the contract of employment our Sales Director went to our closest competitor and poached half the sales team..."

"...our Operations Director left and started a new business the next day copying our unique product...."

"...an ex-director who remains a shareholder is benefiting from substantial new contracts but he was dismissed 5 years ago..."

These are scenarios that the Forbes team hear on a regular basis. Key personnel can be your greatest asset, but what happens when things become less than harmonious? Not all relationships last the full term and serious damage can be caused to your business if key personnel decide to set up in competition or move to one of your closest competitors.

Experts from the team at Forbes Solicitors have joined together to present this seminar for members of the Institute of Directors on the issues faced surrounding the departure of key personnel.

Programme

The seminar will start with Peter Byrne of Forbes Solicitors looking at preventative measures that can be put in place when key personnel or directors are appointed. These will include how contracts of employment can be prepared to provide protection from an outgoing senior employee damaging client relations, supplier contracts, employee relations and property.

Daniel Milnes of Forbes Business Law Department will then look at consequences of removing a director who is also a shareholder and someone who is a non-shareholding director. Pauline Rigby will then touch briefly on claims against directors.

Finally Robin Stephens of Forbes commercial litigation department will use a case study that considers what happens when things go wrong, what to expect in practical terms and what legal and other advisors can do to assist. This session will deal with remedies available, procedural issues obtaining injunctions, evidential issues and the practical considerations of litigation e.g. what is the real cost.

Please also recommend the seminar to friends and colleagues who would be interested in attending.
