Franchising allows an established business (the franchisor) to expand by granting the rights to operate under its brand, system and business model to another party (the franchisee). In exchange for the franchisee’s payment of ongoing fees, it will gain access to a proven system and support. The franchisor, in turn, can grow its business and brand without taking on the operational risks of each unit franchisee.

A franchise agreement sets out the commercial and legal terms between the franchisor and the franchisee in connection with the franchised business for a specified period (often a period of around five years). It governs everything from payment of initial and ongoing fees to operating standards, intellectual property rights and termination provisions. A well-drafted franchise agreement is often accompanied by other forms of security, such as personal guarantees on behalf of the controlling mind of the franchisee. How does franchising differ to licensing?

While both franchising and licensing allow others to use your intellectual property, franchising is a more comprehensive arrangement. A franchisee adopts the franchisor’s entire business model, including branding, operations, and systems, as well as ongoing support. Licensing, on the other hand, usually involves granting rights to use specific intellectual property (such as a registered trade mark or a patent) for a limited period without the deeper business relationship that can be found in franchising.
