The Governance, Procurement and Information department, as part of the Education group, specialise in non-contentious matters and has experience of working with schools, academies and other organisations across a range of commercial, corporate and constitutional matters. Our experience involves drafting, advising on and negotiating contracts; identifying, protecting and exploiting intellectual property; and advising on charity law and governance. Some of our recent experience includes:

  • Preparing, negotiating and advising on contracts for outsourced services such as IT contracts (including web development), grounds maintenance, cleaning and catering supplies;
  • Advising on purchasing contracts from existing service providers and the mechanisms for doing so;
  • Production of contracts for services to end users;
  • Advising on the intellectual property implications of specific third party contracts;
  • Protection and exploitation of intellectual property in works and materials;
  • Creation of a consortium purchasing arrangement between schools;
  • Creation and organisation of breakfast club and after school club entities;
  • Reviewing and advising on construction contracts;
  • Advising on construction contracts and required ancillary documentation including deeds of novation, professional appointment deeds, collateral warranties and performance bonds;
  • Production of governing documents including Articles of Association and Trust Deeds for new entities to operate alongside school and amending charitable foundations governing documents involving liaison with Charity Commission;
  • Formation of a company limited by guarantee to operate as an educational charity;
  • Converting a company limited by guarantee into a community interest company;
  • Procedures and processes in connection with obtaining registered charitable status with the Charity Commission and applying to be treated as a charity for tax purposes by HMRC;
  • Implications of data protection legislation and adoption of appropriate policies and procedures and dealing with data protection, freedom of information and other information requests.

We offer an annual retainer package for unlimited advice in relation to some of the above commercial offerings and also have experience of advising on academy conversions, offering a competitive fixed fee service for this.
