To help our clients to budget we offer an array of fixed fee options which are designed to remove the cost related uncertainty that can come with instructing a solicitor.

This is particularly stark for those new start-ups who have to balance their day-to-day running costs with their need to take professional advice and ensure that they are fully protected from the outset. Matter Work Included

Company Formation

Form a new company with Model Articles with standard modifications, directors and shareholders as required and a single class of shares. Hard copy statutory registers included

Incorporation of Sole Trader or 2 Person Partnership

Draft a Business Transfer Agreement to assign business assets from a sole trader/two person partnership to a limited company and any necessary board and shareholder resolutions.

Simple Trademark Application

Preliminary checks with IPO for existing similar marks, guidance on available TM classes, preparing TM application for client approval and submission to IPO.

Terms & Conditions for Sale of Goods *

Production of terms and conditions with standard terms for the sale of goods to either (i) businesses; or (ii) consumers (fit for sale face to face or at a distance).

Terms & Conditions for Provision of Services *

Production of terms and conditions with standard terms for the provision of services to either (i) businesses; or (ii) consumers (fit for sale face to face or at a distance).

Advice on Personal Guarantee

Reviewing the terms of a bank or other guarantee, providing a report on the guarantee terms and meeting with the client to explain the terms.

Allotment of Shares

Checking relevant provisions of Articles of Association, preparing the necessary shareholder resolutions, board minutes and Companies House returns.

Create a Holding Company Structure

Drafting the necessary Transfer Agreement, preparing the necessary shareholder resolutions, board minutes and Companies House Returns.

Company Purchase of Own Shares (maximum value £150,000)

Producing the share purchase agreement and necessary shareholder resolutions, board minutes and Companies House Returns together with liaising with the accountant/auditor and obtaining auditor's confirmation of distributable reserves.

Reclassification of Shares to create alphabet share structure

Checking relevant provisions of Articles of Association and producing revised Articles containing share class rights, preparing the necessary shareholder resolutions, board minutes and Companies House Returns.

Capital Reduction (maximum value £150,000)

Producing the Statements of Solvency and Compliance, preparing the necessary shareholder resolutions, board minutes and Companies House Returns.

Short form loan document (maximum value £150,000)

Drafting a short form loan letter or agreement to deal with the amount of the loan, interest and repayment provisions together with reference to any required security (although not including such security documents).

Debenture/Chattel Mortgage for loan security

Drafting a Debenture or Chattel mortgage to provide security for a loan.
(Any assistance or advice required in respect of a Deed of Priority or Release will incur additional charges to be notified separately)

Standard Partnership Agreements and Shareholders Agreements

Drafting a standard two party Shareholder or Partnership Agreement. More parties or the inclusion of terms that are non-standard will fall outside of this fixed fee.

Non-Disclosure Agreements

Production of an NDA/confidentiality agreement/letter for use prior to entering into negotiations designed to help protect confidential/sensitive information.

First Year's Company Secretarial Service

We will support you and your new company and show you the ropes within the first year of formation with regard to statutory filings at Companies House and keeping your Statutory Books up-to-date. We can estimate for this service going forward should you require us to continue this service post the first year of formation.

Privacy & Cookies Policy

Drafting a standard privacy and cookies policy for use on a website to ensure compliance with the Data Protection Act 1998 and other applicable legislation.

Website Acceptable Use Policy

Terms setting out the acceptable terms of use of a website where the website contains the capability for user interaction/input of material.

* More complicated pieces of work can be quoted for on an individual basis.

All fees quoted are exclusive of VAT and disbursements unless stated otherwise.

All fees quoted assume that the matter is simple and requires only standard documentation.
